Terms of Service
The following terms of service (these "Terms"), govern your access to and use of the Creator Flow website and mobile application, including any content, functionality and services offered on or through www.creatorflow.com.au or the Creator Flow mobile application (the "Platform") by Roar AU Pty Ltd (ACN 672 333 998) of Suite 302, 13-15 Wentworth Av, Sydney, NSW 2000. Roar AU Pty Ltd (trading as âCreator Flowâ) is referred to hereinafter as "Creator Flow" "we" or "us", and âyouâ or âUserâ means you as a user (whether as a Client or Creator) of the Platform.
Please read these Terms carefully before you use the Platform. Creator Flow is a platform that helps connect Clients and Creators for the purpose of creating commercial video content. For clarity, Creator Flow facilitates the matching, communication, and transaction process between Users but does not provide creative or content creation services and is not a creative agency or a content studio.
By using the Creator Flow Platform, opening a User Account, posting a Brief, submitting a Pitch, accepting a Pitch, or clicking to accept or agree to these Terms you accept and agree, on behalf of yourself or your employer or any other entity you represent (if applicable), to be bound by these Terms. You further acknowledge that you have read and understood our Privacy Policy, (available here) (âPrivacy Policyâ). If you do not agree to these Terms and/or the Privacy Policy, you must immediately stop using and not access the Platform.
The Platform is offered and made available to individuals/users who are at least 18 years of age and capable of entering into a legally binding contract. User aged 13-17 may use the Platform only through a User Account owned and supervised by a parent or legal guardian who shall be deemed the contracting party for the purpose of enforcing these Terms.
Users under 13 years of age, you are not permitted to use the Platform.
By using the Platform, you represent and warrant that you meet the above eligibility requirements and those set out in these Terms. If you do not meet these requirements, you must not access or use the Platform.

Key Terms
Add-on means the additional features described as Extras on the Order page which the Client may choose to add to a video and which will be charged under a separate fee for each Add-on.
Approval Date means the date the Deliverable is approved or âdeemed approvedâ by the Client in accordance with Section 9.3 (c).
Assign or Assigned means the status where the Client has accepted a Creatorâs Pitch and the Total Job Price has been paid to Creator Flow in Credits, confirming the Creatorâs engagement for the Job;
Brief means the instructions, terms and specifics for the work prepared by the Client for Creators to Pitch on and perform;
Client means a User who purchases Services via the Creator Flow Platform.
Client Invoice means the invoice issued by Creator Flow on behalf of the Creator for the Payout for the relevant Job.
Conversation means any communication between a Client and a Creator in connection with a Brief, Pitch or Job.
Creator means a user with the necessary skills and expertise to create video content for use on Social Media Platforms.
Creator Invoice means the invoice issued by Creator Flow on behalf of the Creator for the Payout.
Credits means the Platform currency for Jobs and Deliverables deducted from a Clientâs User Account when a Job is Assigned.
Credit Pack means a pre-purchased set of Credits containing a specific number of base Credits plus any complimentary Credits.
Deliverable(s) means the Video(s) created by the Creator in accordance with the Brief once the Job is Assigned.
GST has the meaning given to that term in the GST Act.
GST Act means the A New Tax System (Goods and Services Tax) Act 1999 (Cth).
Intellectual Property Rights means and includes copyrights, trademarks, patents, designs (whether registered or not), and protection of confidential information.
Job means the binding agreement between a Client and Creator consisting of the Brief, any Pitch, and the Total Job Price paid in Credits, accepted in accordance with these Terms.
Licence Term means a fixed period of twenty-four (24) months commencing on the Approval Date, during which the Client is authorised to use the relevant Deliverable(s) in the Permitted Channels, in accordance with these Terms. After expiry of the Licence Term, continued use requires payment of a new licence fee equal to the Per Video Price or other fee agreed with the Creator;
Order means a request placed by a Client through their User Account for a Job on the Creator Flow Platform.
Payout means the amount payable to the Creator, being the Total Job Price minus the Service Fees, adjusted for GST where applicable.
Per Video Price means the price agreed between the Client and the Creator for each Deliverable â price displayed on CF per video.
Permitted Channels means online and digital channels only, including the Clientâs owned websites, e-commerce listings/product pages, social media accounts, email marketing, and paid digital media (including paid social, display, in-feed, and pre/mid/post-roll on digital platforms). For clarity, Permitted Channels exclude television (including OTT/CTV/BVOD), cinema, out-of-home (OOH) and digital out-of-home (DOOH), in-store screens/point-of-sale, print, events, and any other non-digital media.
Pitch means a response to a Clientâs Brief by a Creator to perform and complete the work described in the Brief.
Service Fee means the fee charged by Creator Flow to the Client for the use of the Platform, including facilitation, escrow processing, creatorâclient matching, communication tools, and other Platform Services. The Service Fee forms part of the Total Job Price.
Services means the services provided by Creator Flow including providing the Platform and User Accounts.
Showcase means a Creatorâs portfolio of sample videos and content published on their Creator profile.
Social Media Platforms are the intended destination of the Videos created as deliverables of a Job. This may include platforms like TikTok, Instagram, Facebook, YouTube, LinkedIn etc.
Tier means a performance-based ranking assigned by Creator Flow to each Creator based on the Creatorâs skills, experience, expertise, work quality and platform performance.
Total Job Price is the total amount payable by the Client (Per Video Price x number of Deliverables), inclusive of GST and the Service Fee.
User Account means a personal account allowing access to and use of the Services offered on the Site.
General Terms
These Terms apply to you to the extent that you are a âCreatorâ or a âClientâ as identified in your User Account.
To use the Creator Flow Platform as a Client or a Creator (i.e. to post Briefs and/or Pitches, and Assigned Jobs on the Platform) you are required to create a Client User Account or Creator User Account, subject to the verification process described in Section 9.1 (Verifying Creators).
Registration of a User Account is free.
Creator Flow does not guarantee or endorse the skills, expertise, suitability or conduct of any Creator or Client.
Creator Flow does not provide any warranty, express or implied, as to the performance, quality, suitability or fitness for a particular purpose of any Brief, Pitch, Job, Deliverable or Service.
You acknowledge that you are responsible for ensuring that you understand the unique features and requirements of the Social Media Platform.
Concierge Service - means a managed facilitation and coordination service provided by Creator Flow, whereby Creator Flow acts as an intermediary and project manager on behalf of the Client to plan, coordinate, and oversee content production activities on the Creator Flow platform, without assuming creative authorship, performance guarantees, or advertising responsibility.
Placing an Order
To initiate a Job on the Creator Flow Platform, a Client must log in to their registered Client User Account and place an Order through the âOrderâ interface on the Platform.
Each Order must specify:
- the intended Deliverables (e.g., number and type of videos);
- the applicable Brief (see Section 10.1 (Briefs);
- any Add-Ons or specific production requirements; and
- the preferred method of engagement, being either a âPickâ or âPitchâ approach as defined below.
Order Methods
Pick Method (Direct Selection): A Client may directly select a specific Creator from the Creator Flow directory (the âPickâ option) to undertake the Job. Once the selected Creator accepts the Job, and the required Credits have been paid in accordance with Section 15.2 (Payments for Jobs Completed), the Job becomes âAssignedâ to that Creator.
Pitch Method (Open Brief): Alternatively, a Client may publish the Brief as an open opportunity, allowing verified Creators to submit Pitches in response (see Section 10.2 (Pitches). The Client may review multiple Pitches and accept the preferred one, which will automatically Assign the Job to the selected Creator once payment is confirmed.
No Order shall be validly placed or made visible to Creators unless the Client has sufficient Credits in their account or has purchased the necessary Credits via the Creator Flow payment gateway. Upon payment confirmation, Creator Flow will issue an in-platform acknowledgment and/or email confirming receipt of payment and activation of the Order (refer Section 15.1 â Credits).
Upon acceptance of a Pitch or direct selection of a Creator under the Pick method, and once Credits are paid, the Order shall automatically convert to a Job. Creator Flow will notify both the Client and the Creator through in-platform notification and/or email confirming that the Job has been Assigned.
The Client is responsible for ensuring that all information included in an Order, Brief, or any related communication is complete, accurate, and unambiguous. Creator Flow is not responsible for any delays, errors, or disputes arising from incomplete or unclear Order details.
Once a Job has been Assigned to a Creator, the Order and associated Brief cannot be amended. Any further Deliverables or material changes must be requested through a new Order or revised Brief.
All Orders, Briefs, Pitches, Jobs, and related communications must be conducted exclusively through the Creator Flow Platform. Clients are strictly prohibited from bypassing the Platform to engage Creators directly, negotiate pricing, or make payments outside the Platform.
Any conduct that attempts to circumvent the Platform, including off-platform engagements, off-platform payment requests, or side arrangements relating to a Brief, Pitch or Job, will be treated as a material breach of these Terms and will be dealt with in accordance with Section 12 (Activity Outside the Creator Flow Platform). For clarity, the consequences and enforcement mechanisms including warnings, temporary suspension, and permanent disablement of the User Account set out in Section 8 shall apply equally to any breach of this non-circumvention requirement.
User Account
To create a Creator User Account to become a Creator, you must hold a valid and current ABN. A Creator User Account cannot be created or verified unless a current ABN is provided.
In creating a User Account, you agree to provide Creator Flow with accurate, complete and updated information. You must not create a User Account for fraudulent, misleading or deceptive purposes.
You agree to promptly update your account and other information associated with your use of the Platform, so your details are accurate, complete and current at all times.
Before Creator Flow grants you a User Account, you must provide sufficient, truthful and accurate information, for Creator Flow to verify your identity and ownership of the User Account. You acknowledge that Creator Flow may use any reasonable means to verify your identity (including by ID verification Tools, phone verification, camera verification or online communication systems.
You acknowledge that a User Account created on the Creator Flow Platform is personal to you. A User Account may not be transferred, sold, assigned, or shared to any other person without the prior written consent of Creator Flow.
Insurance
If you are a Creator, you must take out and maintain a suitable level of general liability insurance that provides coverage appropriate to the risks reasonably associated with producing and delivering the video content for the Jobs you accept under these Terms. The level and type of insurance must be consistent with the nature of the services you provide and the environments in which the work Is performed, You are solely responsible for obtaining and maintaining such insurance.
If you are a Client, you must ensure that you take out and maintain appropriate insurance, to cover any products or good provided to a Creator for a Job and for any liability associated with risks applicable to the Jobs performed for you, including where a Creator is required to attend your premises.
Security Information
If you choose, or are provided with, a username, user identification code, password or any other information relating to your User Account as part of Creator Flowâs security procedures (âSecurity Informationâ), you must keep such information confidential and must not disclose it to any third party.
You are responsible for the safekeeping of the Security Information, You are liable for any misuse of your User Account resulting from your failure to safeguard such information.
Suspension or disablement of the User Account
Creator Flow may suspend or permanently disable your User Account, if you breach these Terms, the Creator Flow Community Standards, or if you engage in any illegal, harmful or inappropriate use of the Platform or Services, as determined by Creator Flow in its absolute discretion.
If your User Account is disabled you will not be able to create Briefs, submit Pitches or accept or perform Assigned Jobs.
If your User Account is disabled, you may contact the Customer Support team for information about the violation and the status of your User Account. Creator Flow is not obliged to reinstate a User Account that has been permanently disabled.
Creators
Verifying Creators
Prior to verifying and approving a Creator, Creator Flow will manually vet and verify your suitability to be identified as an approved Creator in line with these Terms.
The Creator will be required to provide Creator Flow with sufficient information regarding their previous work including providing a minimum of three different sample videos along with a intro video and a stripe account for payment, The Creator hereby warrants that the videos so provided for this verification process, is their personal work, and that they have all rights, title and interest in the creation, content and sharing of that work.
You acknowledge that, once approved in accordance with these Terms:
- your profile is accessible on the âCreatorâ page by Clients and other Creators;
- your Videos are eligible to be placed on the âUGC Ads Libraryâ page on the Platform; and
- you will be able to respond to Briefs with a Pitch.
Creator Flow is not responsible for the content, quality or level of service provided by the Creators and/or for behaviour of the Clients. Creator Flow does not provide any warranty nor have any liability in respect of the Jobs, their delivery, or any communications between Clients and Creators.
As a Creator, it is your responsibility to review the Brief before accepting a Job. You must ensure that you understand and agree to the requirements of the Brief, the expected Deliverables, the deadline, and the amount of the Payout before accepting the Job.
Creator Rating
Tiers are determined after Creator Flow reviews the Creatorâs skills, experience, work quality, and platform performance and professional and business information, evaluates sample video work provided during verification, and considers the Creatorâs ongoing performance on the Platform.
Once verified, and approved Creator Flow will assign a Tier to the Creatorâs profile. Creator Flow currently assigns two Tiers:
Standard Creator â a Creator who has been verified and approved by Creator Flow and is assessed as having the skills required to produce high-quality UGC-style content, including filming and editing, in accordance with the standards of the Platform. All newly approved Creators are initially designated as Standard Creators.
Top-Rated Creator â a Creator who
- has completed at least twenty (20) Jobs on the Creator Flow Platform; and
- maintains an average Client rating of 4.0 stars or higher, based on quality of deliverables, communication, and adherence to deadlines.
A Creator's Tier and average rating will be publicly displayed on the Creatorâs profile and may influence visibility and job opportunities on the Creator Flow Platform. Creator Flow may adjust a Creatorâs Tier if performance standards are not maintained, in accordance with these Terms.
Top-rated Creators may be eligible for additional fixed payments or benefits as determined by Creator Flow from time to time, depending on platform demand and Creator Flowâs discretion.
Creator Review
Creator Flow will periodically evaluate the Creator User Account, Pitches and Jobs, to ensure that the quality standards and expectations of Creator Flow are continued to be met by the Creator, and that the Creator continues to satisfy the criteria of the specific Rating assigned to the respective Creator.
Creators must fulfil all Jobs and must not cancel Jobs on a regular basis or without cause. Creators understand that cancelling Jobs will affect their reputation and Tier ratings.
Creator Flow retains the right to remove a Creator or change an assigned Tier rating if;
- there is a severe drop in the Client ratings of such Creatorâs work,
- the Creator stops or continuously delays delivering on the Jobs on time,
- there is an increase in cancellation rates of Jobs accepted; or
- there is a violation of these Terms, including the Community Standards by the Creator.
Creators acknowledge that Tiers are based on their skills, experience, work quality, and platform performance and professional and business information, and reviews of the Jobs by Creator Flow and/or Clients.
Briefs, Pitches & Jobs
Briefs
If you are a âClientâ:
- it is your responsibility to be clear, detailed and decisive in your Brief;
- you cannot change a Brief after a Pitch is accepted by a Creator and the Job is Assigned; and
- you may seek input from a Creator to refine a Brief before accepting a Pitch to ensure it is clear, detailed and complete.
If you are a âCreator":
- It is your responsibility to be clear, descriptive and definite in your Pitch, in response to a Brief.
- Once a Pitch is accepted and the Client has Assigned a Job, you must deliver the relevant Video(s) as required to complete the Job within the agreed timelines.
- if you do not complete the Job within the agreed timelines or in accordance with these Terms, the Job may not be approved, and you may not receive the Payout.
Any video examples (whether uploaded or linked to a Brief, Pitch and/or Job (as applicable) used, or referred to, by a Client and/or a Creator for the purpose of clarity and to guide discussions as to a Brief, Pitch and/or Job, are not intended for distribution until finally approved by the Client in line with these Terms.
Upon final approval and full payment by the Client, all Intellectual Property Rights in the final video shall vest in the Client. However, where the video includes any third-party intellectual property (eg, music, footage, images, or trademarks), the Creator is responsible for securing all necessary rights and licenses. The Clientâs ownership of the final video is subject to those third-party rights, which remain with their respective owners.
Creator Flow reserves the right to remove any Brief, Pitch, Job and/or user content from the Platform and/or suspend or terminate a Client or Creator User Account for violations of these Terms, including violation of the Creator Flow Community Standards.
You acknowledge that User Accounts that are removed for violation of these Terms are not eligible to be restored.
You also acknowledge that only Briefs can be searched on the Creator Flow âSearchâ Feature.
Pitches
If you are the Creator, you understand that Pitches are required to include a short video introduction from you to provide a way for you to connect with the Client. Each Pitch should be appropriate and professional in tone and content. You are encouraged to use this medium to share your personality, creativity and professional experience.
If you are the Client, you must, respond to such Pitch within a reasonable time frame. You may decline, negotiate or accept that Pitch. You understand that there may be multiple pitches submitted for your choosing. You review and respond to multiple Pitches.
Once you, as the Client, choose a Pitch, to accept the Pitch, you must click the âAcceptâ button found on a Creatorâs Pitch.
Any statements made on the Creatorâs Pitch that undermine or circumvent these Terms are prohibited and Creator Flow reserves the right to suspend or terminate the relevant Creator User Account, if it is brought to Creator Flowâs attention by a Client. As the Pitch is only visible to the respective Client, it will be up to the Client to flag the Creator account carrying the offending statement. If so flagged, Creator Flow may immediately review and suspend or disable the offending Creator User Account.
Jobs
When a Pitch is accepted and paid for by the relevant Client, it becomes a Job and the Creator of that Pitch is notified by email of the acceptance. The Creator will also be able to see the acceptance notification on the Creator Flow Platform when logged into the Creator User Account.
If you are a âCreatorâ:
- you will be expected to deliver the Job within 7 calendar days from the date the Job is Assigned and to deliver any revision request within 2 calendar days from such request. it is your responsibility to complete the Job within the agreed deadline.
- You must update the Jobâs status on the Creator Flow Platform and communicate in a timely and effective manner with the Client about any matters that may impact your ability to complete the Job.
- You may request an extension to the timeline from the Client. If the Client does not grant the extension and chooses to cancel the Job, the Client will receive a full refund of the Total Job Price and you will not be entitled to the Payout. Any refund to the Client shall be subject to the Creator Flow Refund Policy (see Section 15.3 (Refunds).
- Requests for timeline extensions shall be made on the Creator Flow Platform with the client to ensure that all Parties are aligned on the delivery of the Jobs and to enable the Creator Flow Platform and the Creator Flow Support Teams to manage delivery timelines of the Assigned Jobs efficiently and accurately.
- Failure to meet the agreed timeline without prior notice or Platform-approved extension may result in; (a) The job being cancelled by the client and/or; (b) the Creator becoming ineligible for the relevant Payout. When a Job is marked as late it may harm your rating on the Platform.
- You must deliver completed files and/or proof of work using the âUploadâ button (labelled âClick to upload a fileâ) located on the âDeliverablesâ tab on the Job card. The files must be in accordance with the Job description and specifications.
- You must carry out and complete the Job and provide the Deliverables to the Client using the standard of care, skill, expertise, judgement and diligence expected of a competent person experienced in providing authentic creative content in line with the specific client requirements.
- you must at all times hold the approvals, licences, permits, and registrations (if any) required to carry out the Job;
- You must in all respects comply with any applicable law or regulations, including any and all safety regulations, and the Creator Flow policies and procedures including specifically the Creator Flow Community Standards.
- You are responsible for scanning all transferred files for viruses and malware.
If you are a Client:
- You can either approve or request revisions, when the Deliverable is in the review stage. You may use the "Request Revisions" button located on the Jobâs âDeliverablesâ page.
- it is your responsibility to review any Deliverables posts as âready for reviewâ within 7 days from the time of upload by the Creator, and to either (a) approve or (b) reject or (c) request a revision (up to a maximum of two revisions); (in your absolute discretion) within 7 days from the time of upload by the Creator. If you do not request a revision or approve any Deliverables within 7 days, the Deliverables will automatically be deemed âapprovedâ and the Payout will be made to the Creator in accordance with these Terms.
- The date of approval or deemed approval is the Approval Date for the purposes of these Terms.
- You may request up to two (2) revisions per Deliverable. The Creator must respond to each revision request, make the required changes, and re-upload the revised Deliverable within two (2) calendar days of receiving the request. You are then required to review and respond to the revised Deliverable within 24 hours of its upload. If no response is received within this timeframe, the Deliverable will be automatically deemed approved, and the corresponding payout will be released to the Creator. if the 7-calendar day period is not sufficient you may request "revision extensionâ up to 2 additional days before the 7 day auto approval date window.
- Revisions must be reasonable and aligned with the original brief (e.g. minor edits, line changes, voiceover pacing, visual tweaks, captions, or brand tone corrections etc (âStandard Revisionsâ). Revisions that require extensive re-shoots, major creative overhauls, or changes that deviate significantly from the approved Brief are not considered Standard Revisions, and such significant revisions may be subject to an additional fee if requested above âstandard revision criteriaâ.
- The Client is prohibited from using any previous or unrevised version of a Deliverable once a revision has been requested and completed. In the event that both the original and the revised versions of a Deliverable are used by the Client, Creator Flow reserves the right to issue a formal notice and apply and additional charge. Such charge shall be determined based on the extent of variation between the Deliverables â where substantial differences exist, the charge shall be deducted from the Clientâs available Credits; where the variation is minor, the charge shall be applied as an Add-On UGC fee.
Strike System for creator accountability.
(a) A strike may be issued in the following cases
- Missing agreed deadlines without communication or approval
- Being unresponsive for more than 48 hours during an active Job
- Discussing or negotiating job pricing directly with Clients (all pricing is fixed and managed via the Platform)
- Refusing revisions (up to the standard two revisions per Job) without valid reason
- Submitting incomplete or placeholder content to avoid delivery penalties
- Failure to deliver a Job that was accepted, or repeated cancellations without cause
(b) Each strike is recorded against the creatorâs account. Accumulating multiple strikes may result in the following actions, at Creator Flowâs discretion:
- Temporary suspension from applying to new briefs
- Removal from the âTop-Rated Creatorâ tier (if applicable)
- Permanent removal from the Creator Flow Platform
(c) All creators will be notified via email if a strike is issued, along with a reason and any supporting evidence. Strikes may be reviewed or appealed by contacting our Customer Support team.
Reviews
As a Client you agree to provide accurate, complete and truthful feedback and reviews in respect of a Creatorâs work and/or conduct in respect of a Job when requested to do so by Creator Flow.
You may provide a âprivateâ or a âpublicâ review. âPrivateâ reviews will not be publicly displayed on a Creatorâs âJobâ page and will not be shared with the Creator or any other person outside of Creator Flow, except with your prior written authority.
A review that is to become âpublicâ will not be made public until the Creator has had sufficient time to consider and provide a review of his/her own.
A review that is made âpublicâ will not be removed unless there are clear violations of these Terms (including our Community Standards).
You agree to not misuse or abuse the review system, and that you will only provide reviews for completed Jobs, or Jobs deemed to have been completed under these Terms, executed exclusively through the Creator Flow Platform.
If Creator Flow determines, in its absolute discretion, that you have engaged in conduct, or have participated in a scheme, to arrange for a Job to be created, to artificially enhance a Creatorâs Tier, or to abuse the Platform with purchases from additional accounts, Creator Flow reserves the right to suspend or permanently disable your User Account and any other user account that is connected to this wrongful conduct.
Public review comments given by a Client are publicly displayed on a Creatorâs profile and Videos on their Showcase.
As a Creator you must not withhold the delivery of services, files, or information required to complete a Job with the intent to gain favourable reviews or additional services.
If you are a âCreatorâ, you can reply to the Clientâs review for the Job, beneath the relevant Clientâs review on your âJobsâ page.
Activity Outside the Creator Flow Platform
To ensure the integrity of the Creator Flow platform and the Services provided thereon, both Clients and Creators are prohibited from taking or attempting to take Jobs outside the Platform by proposing or offering alternative pricing or other incentives. Clients and Creators must not contact each other directly, or discuss Job Requirements outside of the Platform.
You must use reasonable endeavours to ensure that all communication about a Job between you and the Creator or you and Creator Flow, is in the relevant Job Chat thread. This will enable Creator Flow to support both you and the Creator and to resolve any issues as quickly as possible.
Creator Flow will not be responsible for any unfavourable consequences arising from arrangements or agreements made between Clients and Creators outside the Platform.
If a Job requires that you and the Creator meet in person in order for the Creator to complete the Job, Creator Flow makes no warranties or guarantees as to the behaviour, conduct, safety, suitability or ability relating to such a requirement. You agree that you assume all risks and liabilities (whether foreseen or unforeseen at the time of accepting these Terms) arising out of any such meeting, and that Creator Flow has no responsibility or liability for any loss or damage suffered by any Client or Creator related to any such meeting or any services provided by the Creator on such occasion outside the Creator Flow Platform.
If Creator Flow discovers that Creators and/or Clients have violated this restriction by creating or maintaining or, attempting to create or maintain any arrangements or agreements outside the Creator Flow Platform, Creator Flow shall issue a warning to the violating Party or Parties in the first instance, calling on such Party or Parties to immediately cease such engagement or agreement (or attempted engagement or agreement.)
If the Client and/or Creator does not adhere to such warning and continues to act in violation of the above restriction Creator Flow shall at its sole discretion, restrict access to the Creator Flow Platform to such Client or Creator either on a temporary basis or permanently.
If Creator Flow decides to permanently restrict access to the Platform for any violations under this Section 21 (Violations), any Credits due to the Client shall be refunded in accordance with the Creator Flow Refund Policy set out in Section 15.3 (Refunds) below.
Production & Logistics
If you are a âCreatorâ:
- it is your responsibility to bear any incurred or âsunkâ production costs (including but not limited to production equipment purchase or hire, props and accessories, location access or travel) related to a Job. It is recommended that these costs be anticipated and included in your Pitch for the particular Brief and clearly explained as part of the Pitch Price.
- it is your responsibility to arrange all logistics, occupational health & safety controls, insurance and any other workplace health and safety requirements that may be required as part of the production of a Job. Creator Flow will not in any way be responsible or held liable in respect of any claims or demands from you or from any third party arising out of your actions in relation to any production of a Job.
If you are a âClientâ:
- it is your responsibility to pay for any and all production costs and logistics (including but not limited to commercial music licences, models, talent agents, travel expenses etc.) in respect of any Job assigned or any requested Add-ons, or any other arrangements agreed between you and the Creator.
- it is your responsibility to arrange and ensure the Creator has safe access to any person, object or place required for the Creator to complete the Job according to your instructions (as maybe agreed between yourself and the Creator) including any location licence or site-access as necessary. This may include but is not limited to relevant site inductions, PPE or other site-specific requirements.
Creators Access to Products â Clients only
If the Client requires a physical product(s) to be shipped to the Creator before the Creator can commence or complete a Job, it is the Clientâs responsibility to ensure that the product is provided to the Creator. Unless agreed otherwise in writing with the Creator, a product provided by the Client to the Creator is deemed to be âgiftedâ to the Creator and Creator Flow will not be obligated to assist the Client recover or retrieve such product. The product will not be considered as consideration, in part or in full, towards payment to the Creator for the Job Assigned in accordance with these Terms. If the Client requires a physical product to be shipped to the Creator for the commencement or completion of a Job, it is the Clientâs responsibility to ensure that the product is delivered to the Creator. At the time of placing an order, the Client must indicate whether the product is âgiftedâ or ânot giftedâ within the Job request.
Where a product is marked as âgiftedâ, it will be deemed to be permanently transferred to the Creator, and Creator Flow will have no obligation to assist in the recovery or return of such product. Where a product is marked as ânot giftedâ, the Client must make suitable arrangements directly with the Creator for its return following the completion of the Job.
All products provided to Creators, whether gifted or not, shall not be considered as consideration, in part or in full, towards payment to the Creator for the Job, unless expressly agreed otherwise in writing.
The Client acknowledges that Creator Flow does not handle or guarantee the shipping, tracking, quality, and condition of any product that they provide or arrange for delivery to the Creator and Creator Flow is not responsible or liable for any loss, damage or other claims suffered by the Client or any third party resulting from shipping the product to the Creator.
You agree to use reputable shipping or transport providers and services that include features such as tracking numbers to reduce risks of disputes related to shipping.
It is the Clientâs responsibility to ensure that prior to accepting a Pitch, they communicate clearly in writing via Job Chat, their expectations as to the return of any product, or any unused portion of a product, upon the completion of the Job (or cancellation as the case may be).
If the Client requires that a product, or the unused portion of a product, be returned upon completion or cancellation of a Job, then it is their responsibility to arrange and pay for the return postage to return the product.
It is the Clientâs responsibility to maintain appropriate insurances to cover any product or products provided by them to a Creator including against loss, theft or destruction of the product, and for any other liability or risk associated with or applicable to the Job(s) Assigned to the Creator(s) including any liability arising from any Job that requires the Creator(s) to attend the Clientâs premises.
Payments & Refunds
Credits
For the purposes of these Terms, Credits may exist in two forms:
(i) Purchased Credits, being Credits acquired by payment of money and held in a Clientâs User Account prior to being allocated to a specific Job; and
(ii) Credits allocated to a specific Job and held in escrow, as per these Terms.
b) Creator Flow sets the amount of purchased Credits for Deliverables. The number of credits for a brief varies based on the type of Deliverables and the Production Tier and may be changed at the discretion of Creator Flow. Creator Flow will provide at least 14 daysâ notice of any change to a Credit amount.
c) Purchased Credits will remain valid and redeemable for services on the Creator Flow Platform for a minimum period of three (3) years from the date of purchase, in accordance with the Australian Consumer Law.
d) Once purchased Credits are allocated to a specific Job and held in escrow, those Credits are governed by the Job, completion, cancellation and refund provisions of these Terms, and are not subject to any general expiry period. For clarity, Credits held in escrow under these Terms are not account-level Purchased Credits and are governed solely by the Job-related provisions of these Terms.
e) Where Purchased Credits are returned to a Clientâs User Account following a cancellation or refund permitted under these Terms, such Credits will retain their original expiry date and will not expire earlier than three (3) years from the original date of purchase.
f) Nothing in these Terms limits or excludes any rights a Client may have under the Australian Consumer Law in relation to Purchased Credits.
Payments for Jobs completed
A Client must make a payment for Credits, before being able to place an Order and Assign a Job to a Creator or to open a public brief on the Creator Flow Platform, whether by direct selection of a Creator, or by engaging a Creator in response to their Pitch.
As a Client, you acknowledge and agree that payments must be paid in-full via our third party Banking Merchant payment gateway (presently Stripe) (the âBanking Merchantâ) in order to Assign a Job. You also acknowledge and agree that Creator Flow and the Banking Merchant may exchange information about you as is necessary for the purpose of the transaction(s) contemplated under these Terms. You acknowledge also that use of the Banking Merchant gateway is subject to the terms and conditions of the Banking Merchant.
As a Client, if you choose to save your credit/debit card details on the Banking Merchantâs payment gateway (which you are directed to from the Creator Flow Platform for the purposes of processing payment only), you acknowledge that your card details are saved at your risk, and that Creator Flow is not liable for any loss you may suffer due to the storing of this data. For the avoidance of doubt, Creator Flow does not store any card details, and if such details are collected for the purpose of providing a refund those card details are destroyed immediately after use.
As a Client you acknowledge that Creator Flow holds the Total Job Price in Credits in escrow subject to these Terms and that once you engage a Creator by direct selection or by acceptance of a Pitch, on completion of the Job in accordance with these Terms Creator Flow will deduct from your creator flow account, the Credits to the value of the Total Job Price.
You, as a Client, hereby irrevocably and unconditionally authorise Creator Flow to, on completion of the Job by the Creator in accordance with these Terms, to:
- release the Total Job Price to the Creator Flow account; and
- release and pay the Payout to the Creator in accordance with these Terms and the Creatorâs payment instructions; and to
- retain the Service Fee for the benefit of Creator Flow.
If you are a âCreatorâ, you hereby authorise Creator Flow to deduct the Commission from the Total Job Price and to pay Payout amount to you on satisfactory completion of the Job as confirmed by the Client.
If the Job is completed or is deemed completed in accordance with these Terms (âCompletionâ), Creator Flow will issue a Creator Invoice on behalf of the Creator for the Creator Payout. If the Creator is registered for GST, then the Creator Invoice will be a tax invoice for the purpose of the GST Act. The Payout will be adjusted appropriately for GST subject to the GST status of the Creator.
Creator Flow will pay the Payout to the Creator via the Banking Merchant gateway as soon as reasonably practicable after the date of Completion and after issuing of the Creator Invoice.
Refunds
Cash refunds to Clients will only be made for payments made per Order and only if the Creator of the Clientâs choosing is unavailable.
No refunds will be made for Credit Pack purchases.
In the event a Client who has purchased a Credit Pack cancels a Job, the Credits allocated for the Job will be returned to the Clientâs User Account for future use in circumstances permitted under these Terms.
The Credits allocated for the Job will be returned to the Clientâs User Account for future use only where permitted in accordance with these Terms.
If Creator Flow decides to permanently cancel or restrict access to the Creator Flow Platform, to either any Client or any Creator, for any reason under these Terms:
- In the case of a Client, any unused Credits remaining in the Clientâs User Account, will be refunded as cash within 1 calendar Month.
- In the case of a Creator; all pending payments remaining payable to the Creator up to the date of such restriction (if any), will be settled in full on or before the date of such restriction is enforced.
Cancellation and termination
Without affecting any other right or remedy available to it, the Client may with immediate effect terminate a Creatorâs engagement to perform a Job if:
- the Creator fails or is unable to meet the deadline for completion of the Job;
- the Creator fails to carry out and complete the Job in accordance with the Brief and does not rectify that failure within a reasonable time of being given notice to do so by the Client; or
- the Creator otherwise breaches any material term, condition or specification of the Brief or these Terms.
If the Client terminates the Creatorâs engagement to perform a Job, then:
- the Creator will not be entitled to Payout;
- Creator Flow will not be entitled to payment of the Commission for the relevant Job;
- Subject to the limitation set out in Section 15.3(b) Creator Flow will refund the Total Job Price to the Client and
- the Creator must return to the Client any materials, content, information or products provided to the Creator by the Client.
For the avoidance of doubt, termination of a Job by the Client under this Section does not entitle the Creator to any portion of the Payout and does not limit Creator Flowâs right to take action (including Platform restrictions) where a Creator breaches these Terms.
If the Client terminates a Job after Deliverables have been fully completed and uploaded by the Creator, such Deliverables will not be considered accepted unless approved by the Client. Where the Deliverables are deemed approved, the Creator will be entitled to the Payout, and no refund or return of Credits will be permitted. Any entitlement to refund or return of Credits will be determined strictly in accordance with Section 15.3 (Refunds).
Nothing in this Section limits Creator Flowâs right to suspend, restrict, or terminate a Client or Creator User Account for breach of these Terms, misuse of the Platform, or conduct contrary to the Creator Flow Community Standards.
User Generated Content
User Generated Content ("UGC") refers to the content added by users. Any content, materials, Deliverables, communications, information, files, images, audio, video, or other data uploaded, posted, submitted, transmitted, stored, or otherwise made available on or through the Creator Flow Platform by our users (Clients and Creators) is User Generated Content for the purposes of these Terms and must comply with these Terms and the Creator Flow Community Standards.
You represent and warrant that you own, or have obtained all necessary rights, licences, consents, and permissions to upload, use, reproduce, modify, distribute, or otherwise transmit your User Generated Content on the Creator Flow Platform, and that your submission of such User Generated Content does not infringe any third-party rights, including copyright, trade mark, design, moral rights, privacy, or publicity rights.
You grant to Creator Flow a non-exclusive, royalty-free, worldwide, transferable licence to host, store, use, reproduce, display, transmit, and otherwise make available your User Generated Content solely for the purpose of operating, maintaining, marketing, and improving, the Creator Flow Platform, including for dispute resolution, quality control, training, compliance, and support purposes.
Creator Flow may remove, disable access to, or restrict any User Generated Content that violates these Terms or the Creator Flow Community Standards, or that Creator Flow reasonably determines may expose Creator Flow, any User, or any third party to harm, liability, legal action, reputational damage, or other adverse consequences.
You acknowledge that Creator Flow does not review or approve User Generated Content before it is uploaded or made available on the Platform and is under no obligation to do so. Creator Flow makes no representations or warranties regarding the accuracy, quality, legitimacy, legality, reliability, or appropriateness of any User Generated Content.
You acknowledge that any User Generated Content transmitted via the Creator Flow Platform may be processed, stored, or transmitted by third-party service providers (such as cloud hosting providers). You consent to such processing and transmission, subject at all times to Creator Flowâs Privacy Policy.
If you upload or submit User Generated Content that includes or incorporates third-party materials (including commercial music, stock images, stock footage, fonts, or other licensed elements) you are solely responsible for obtaining and maintaining the applicable licences and for complying with the relevant licence terms. Creator Flow will not be responsible or liable for any infringement, misuse, or claim arising from such third-party materials.
You must not upload, submit, or transmit any User Generated Content that is prohibited under the Creator Flow Community Standards, including but not limited to content that is defamatory, obscene, misleading, discriminatory, harmful, unsafe, or in violation of any law or regulation.
Creator Flow may retain copies of User Generated Content that has been removed or deleted if required for legal, regulatory, auditing, evidentiary, or dispute resolution purposes.
Nothing in this Section limits or affects the intellectual property ownership, licence rights, or moral rights provisions set out in Section 18 (Intellectual Property Ownership).
Intellectual Property Ownership
IP Rights
You acknowledge that the Creator Flow Platform, including its layout, look and feel, design, content, logos, tradenames, taglines and all other materials available on the Platform (whether or not registered), are owned exclusively by Creator Flow and/or its affiliates or licensors, and are protected by copyright, trademark, and other intellectual property laws except as expressly stated otherwise in these Terms.
If you are a Creator, you warrant that any third-party intellectual property (including music, fonts, images, stock videos, or other licensed elements) incorporated into any Deliverable has been properly licensed, and that you hold all necessary rights, consents, permissions and authority to use such materials for the purposes of the Job. You acknowledge that the Clientâs ownership of the Deliverables is subject to any such third-party rights which remain with their respective owners. The Creator also irrevocably waives all moral rights in the Deliverables to the maximum extent permitted by law.
If you are a âClientâ, you grant to Creator Flow and the Creator a non-exclusive, royalty-free, licence to use and publish completed Deliverables for marketing and promotional purposes only with the Creator Flow community (including within case studies, showreels, and platform highlights). Creator Flow will not use Deliverables for commercial resale or for any client other than the commissioning Client.
If you are a âCreatorâ:
- Subject to (A) full payment of the Total Job Price and (b) completion or deemed completion of the Job, in accordance with these Terms, you hereby assign to the Client all rights, title, and interest in and to the Deliverables, including all applicable copyrights and other intellectual property rights. Such assignment is worldwide, irrevocable and perpetual.
- To the extent the Deliverables include any third-party intellectual property, you warrant that you have secured and maintain necessary licences required for the Clientâs intended use in accordance with the Licence Term and Permitted Channels.
- You grant to Creator Flow a perpetual, irrevocable, royalty-free, exclusive, non-transferable, worldwide licence to use any content (including photographs, videos, Pitches, or portfolio content) voluntarily to uploaded by you to the Creator Flow Platform, solely for the purpose of operating, improving, marketing, and showcasing the Creator Flow Platform and the work produced on it.
- you warrant and represent that you are the owner of, or have been granted a licence, or have obtained all consents, permissions, power and/or authority to use, all Intellectual Property Rights that is incorporated into the Deliverable(s) (including but not limited to images, videos, photos, music) and that you are able to grant to the Client ownership and/or a licence to the said intellectual property as set out in these Terms.
- you indemnify and hold harmless Creator Flow and the relevant Client against any and all loss, expenses, costs, liabilities, and/or damages resulting from your breach or infringement of any third partyâs Intellectual Property Rights and/or any licence to use an image, photograph, video and/or music in the Deliverables.
Any Deliverables assigned to the Client under this Section are licensed for use only within the Licence Term and the Permitted Channels. The Client acknowledges that continued use of the Deliverables beyond the Licence Term requires payment of a further licence fee equal to the Per Video Price (or such other fee mutually agreed with the Creator).
You (the Creator) indemnify and hold harmless Creator Flow and the relevant Client from all loss, claims, damages, costs, and liabilities arising from your breach of any third-party intellectual property rights or any licence governing third-party materials incorporated into the Deliverables.
A breach of Intellectual Property obligation in these Terms may result in the suspension or permanently disablement of your User Account without notice.
Creator Flow may respond to notices of alleged infringement in its sole discretion and in a manner it considers appropriate. You agree to provide all reasonable assistance requested by Creator Flow, in connection with any such notice.
For clarity, nothing in this Section limits the User Generated Content rules in Section 17 (User Generated Content) or the licence restrictions and usage rights set out elsewhere in these Terms.
IP Claims
If you believe your Intellectual Property Rights, or that of a third party, have been infringed by any User Generated Content or Deliverables on the Creator Flow Platform, you may submit a notice (âIP Noticeâ) to the Creator Flow Customer Services team.
Your IP Notice must include the following information;
- a clear identification of the Intellectual Property Rights alleged to have been infringed, including reference to any relevant registration certificates, ownership records, or proof-of-use documents.
- a description of the allegedly infringing material and specific details enabling Creator Flow to locate the material on the Platform;
- your full name, address, email address, and telephone number;
- a statement that you, in good faith, believe that the use of the material in the manner complained of is not authorised by you (or the relevant rights holder), your agent, or the law;
- a warranty that the information provided in the IP Notice is accurate and that you are the owner of the Intellectual Property Rights, or are duly authorised to act on behalf of the owner; and
- your electronic or physical signature.
Within five (5) business days of receiving a complete IP Notice, Creator Flow will issue a notice to the alleged infringing party (the âRespondentâ) setting out the allegations and requesting a written response within five (5) business days.
Creator Flow may request from either party any additional information, documentation, or clarification reasonably necessary to assess the claim, including proof of rights, licences, consents, or ownership.
Creator Flow may, at its sole discretion;
- remove or disable access to the allegedly infringing material;
- suspend, restrict, or permanently disable the Respondentâs User Account if sufficient evidence of infringement is provided; or
- take no action where, in Creator Flowâs absolute discretion, the IP Notice is insufficient, unsubstantiated, or relates to a legitimate use.
If you are a âCreatorâ and it is determined that you have infringed another Userâs or third partyâs Intellectual Property Rights, you must immediately repay to the relevant Client the Payout for the affected Job, without set-off or deduction, in addition to any other remedies available under these Terms.
Creator Flow is not obliged to reinstate, restore, or reactivate a User Account that has been disabled as a result of an infringement finding under this Section.
Nothing in this Section limits Creator Flowâs rights under Section 17 (User Generated Content) or Section 18 (Intellectual Property Ownership).
Feedback Rights
By using the Creator Flow Platform, you acknowledge that any feedback suggestions, ideas, comments, reviews, or other input you submit or communicate to Creator Flow (âFeedbackâ), may be used by Creator Flow for any purpose connected with improving, developing, modifying, enhancing, promoting, or supporting the Creator Flow Platform and its related services.
You acknowledge and agree that all Feedback is provided voluntarily and without expectation of payment, attribution, acknowledgement or compensation of any kind. Creator Flow is under no obligation to consider, implement, or respond to any Feedback.
You hereby grant to Creator Flow a perpetual, irrevocable, worldwide, royalty-free, transferable licence to use, reproduce, adapt, modify, translate, publish, display, and distribute any Feedback for the purposes set out in this Section, without any restriction or obligation to you.
Feedback does not include Deliverables submitted under a Job, which are governed by Section 18 (Intellectual Property Ownership), nor does it include User Generated Content, which is governed by Section 17 (User Generated Content).
Creator Flow may, but is not required to, attribute Feedback to a Client or Creator. You consent to Creator Flow contacting you to clarify Feedback or to request additional information where reasonably necessary for improvement purposes.
You warrant that any Feedback you provide does not infringe any third-party rights, including intellectual property, confidentiality, privacy, or moral rights, and that you are authorised to grant the licence set out in this Section.
Creator Flow Community Standards User Conduct and Protection
These Community Standards set out the minimum standard of behaviour expected of all users of the Creator Flow Platform. You must at all times behave in a professional, respectful and community-spirited manner when using the Platform or when interacting with any other User. In case of any breach of these Standards, or any other part of these Terms, Creator Flow may issue warnings or take enforcement action including limiting, suspending or disabling your User Account.
It is your responsibility to understand and comply with the relevant content policies, advertising polices, and community guidelines of the Social Media Platform for which a Job is created.
You acknowledge that Creator Flow enables people around Australia to create native vertical video ad content and that the Creator Flow community engages through conversations on the Platform, social media, and at in-person events. You must conduct yourself in a manner that maintains a safe, inclusive, respectful and community-spirited environment in all interactions.
You must treat all Users with courtesy, respect and professionalism. You must not engage in harassment, bullying, intimidation, discrimination, incitement, threatening behaviour, or any conduct that may reasonably cause offence, distress or harm to others.
You must respect the privacy of other Users and must not contact other users with offers, suggestions promotions or questions that are not directly related to a Job, Brief and/or Pitch.
All communication relating to a Job must occur within the relevant Job Chat thread on the Platform. This allows Creator Flow to support Clients and Creators and to resolve issues efficiently. Creator Flow may review Job Chats for compliance, support, dispute resolution and safety purposes.
You agree that any exchange of professional information required for completing a Job must occur through the Platform, unless expressly permitted otherwise by Creator Flow. All files and information relating to a Job must be exchanged through the Creator Flow Platform wherever possible.
To report a violation of these Terms, misconduct, of nay user or to make inquiries regarding your User Account, please contact our Customer Support team by emailing hello@creatorflow.com.au.
You must not engage in any conduct that is rude, abusive, discriminatory, threatening, defamatory, misleading, harassing, hateful, obscene, violent, or otherwise inappropriate. Such conduct may result in a warning or immediate suspension or disablement of your User Account.
You must not submit Briefs, Pitches or engage in any conduct that attempts to contract, engage or pay for services outside the Platform. This includes offering or accepting alternate pricing, discounts, incentives, or directing a User to transact or communicate off platform.
You must not use the Platform for any unlawful, harmful, misleading or inappropriate purpose. This includes the posting, sharing, uploading or transmitting of any content that is defamatory, obscene, hateful, discriminatory, harassing, violent, exploitative, unsafe, or otherwise contrary to these Terms.
You must not interfere with, manipulate or attempt to mislead the review, rating or Job assignment systems on the Platform. You must not request, solicit or pressure another User to remove, modify or alter a review, except to correct factual inaccuracies via normal dispute processes.
You must not spam or repeatedly contact Users in a manner that is unwanted or unreasonable, including for the purpose of influencing a review, cancelling a Job or obtaining off-platform work.
If you come across any content, conduct, Brief, Pitch, communication or other material that may violate these Terms, you must promptly report it to the Customer Support team at hello@creatorflow.com.au. Creator Flow will investigate all reports but will not be required to disclose the outcome of any investigation, except where required by law or where Creator Flow considers notification appropriate.
If a Job requires an in-person meeting between a Client and a Creator, Creator Flow does not warrant or guarantee the behaviour, safety or suitability of either party. You assume all risks associated with any such interaction and agree that Creator Flow is not liable for any loss, damage, injury or adverse outcome arising from such meetings.
Creator Flow may issue warnings for actual or potential violations of these Standards. Warnings may be displayed on your User Account and communicated to you via email. A warning does not automatically limit your User Account functionality, but repeated warnings may result in enforcement action under Section 21 (Violations).
Violations
A âViolationâ means any conduct by a User that breaches these Terms, the Creator Flow Community Standards, or any applicable law, and includes any behaviour that undermines the safety, fairness, integrity or proper functioning of the Creator Flow Platform.
Without limiting the generality of Section 20 (Creator Flow Community Standards User Conduct and Protection,) a User will be considered to have committed a Violation if they:
- engage in discrimination, harassment, bullying, hate speech, intimidation, or abusive behaviour towards any User, Creator Flow staff member or third party;
- submit, upload, post or transmit any content that is defamatory, obscene, pornographic, violent, misleading, illegal, harmful, exploitative, unsafe, or otherwise prohibited under these Terms or the Creator Flow Community Standards.
- attempt to contract, engage, solicit, or pay for services outside the Platform, or encourage another User to do so, whether by offering alternative pricing, incentives, discounts, or off-platform communication channels;
- misuse, manipulate or interfere with the review, rating or Job assignment systems, including by submitting false reviews, requesting fabricated reviews, ordering Jobs for the purpose of leaving negative feedback, or attempting to pressure a User to alter or remove a review;
- upload or provide content containing malware, viruses, malicious code, harmful scripts, or any other component that may damage, disable or interfere with the operation of the Platform or any Userâs system;
- impersonate any person or entity, misrepresent their identity, credentials or affiliation, or mislead any User or Creator Flow in any way;
- breach confidentiality obligations or disclose private or sensitive information obtained through the Platform without proper authorisation;
- attempt to gain unauthorised access to the Platform, another User Account, Creator Flowâs internal systems, or any restricted area of the Platform;
- engage in fraud, deception, misrepresentation, or any dishonest conduct in relation to a Job, Brief, Pitch, Deliverable or payment;
- engage in behaviour that results in repeated cancellations, abandoned Jobs, or patterns of behaviour that materially disrupt the Platform or create an unreasonable burden on Clients, Creators or Creator Flow;
- submit or request Deliverables for illegal, restricted or prohibited purposes (whether or not listed in Section 20 (Creator Flow Community Standards User Conduct and Protection); or
- otherwise act in a manner that Creator Flow reasonably determines to be harmful, unsafe, inappropriate, or contrary to these Terms.
Creator Flow may take enforcement action in response to a Violation, including issuing a warning, adjusting a Creatorâs Tier or Rating, temporarily suspending the User Account, restricting the Userâs ability to apply for or receive Jobs, or permanently disabling the User Account.
Creator Flow may remove or disable access to content associated with a Violation, including Deliverables, Reviews, Briefs, Pitches or messages, without liability to the User.
Repeated Violations, or a single severe Violation (including threats, hate speech, fraud, unsafe conduct, or illegal activity), may result in immediate suspension or permanent disablement of the User Account without notice.
Creator Flow is not required to disclose evidence, internal findings, or the outcome of any investigation into a Violation, except where required by law or where Creator Flow, in its discretion, considers disclosure appropriate.
Nothing in this Section limits Creator Flowâs rights to suspend or terminate any User Account under Section 8 (Suspension or Disablement of User Accounts) or any provision of these Terms.
Non-Permitted Usage
Users must not submit, request, create, upload, transmit or engage in any Job, Brief, Pitch, Deliverable, Review or communication on the Creator Flow Platform that involves, promotes, or relates to any prohibited industry, product, service, content type, or activity listed in this Section.
You acknowledge that certain categories of products, services and content are restricted or prohibited under applicable Australian law and the community guidelines or advertising policies of major Social Media Platforms The following categories of content and activity are strictly prohibited on the Creator Flow Platform, may result in Creator Flow, in its absolute discretion, issuing a warning, suspending or permanently disabling your User Account:
- creating commercial video content on or through the Creator Flow Platform for the products or services listed below will not be permitted by Creator Flow;
- Tobacco Products
- Weapons and Explosives
- Derogatory Personal, Political, and Religious Content
- Spy Cams and Surveillance Equipment or any equipment intended for secret monitoring
- Counterfeit Goods, Fake Documents or any falsified official document.
- Adult Products and Services prohibited due to legal and platform advertising restrictions
- Penny Auctions - High-risk bidding schemes frequently associated with gambling-like mechanics and consumer fraud
- Alcohol and items primarily intended for alcohol consumption
- Any content relating to the sale or depiction of human body parts or bodily materials
- Cannabis including CBD, THC, and related paraphernalia
- Dating apps, matchmaking services or relationship-based paid interactions
- Drug Tests - Kits or services used to test for illicit substances
- Exam-Taking Services or tools assisting users to cheat or circumvent educational integrity standards
- Face Masks â Products that significantly alter identity/appearance, including those used for deception or impersonation
- Fake Followers Services providing artificial engagement, followers, likes or boosting behaviour
- Gambling wagering, fantasy gambling, or games of chance involving monetary stakes
- Hacking and Surveillance Software, tools or equipment enabling unauthorised access, hacking, tracking or surveillance
- Illegal Automobile Modification Products prohibited by law
- Lottery
- Multi-Level Marketing - Pyramid-style recruitment schemes
- Over-the-Counter Drugs that are restricted, harmful, or require specific approvals/licensing to promote
- Payday and Short-Term Loans and Personal Loans â verify
- Online Pharmacies
- Political campaign materials, political advocacy or lobbying content; restricted by platform policies.
- Recreational Drugs, Prescription Drugs that cannot legally be promoted
- Rehab - considered sensitive healthcare content requiring licensing
- Reproductive Health Products that may require medical or regulatory compliance
- Spyware and Malware designed to track, monitor, or harm devices or systems
- Subscription Services - High-risk recurring-billing models
- Unauthorized Set-Top Boxes of devices used to circumvent legal broadcasting or streaming services
- Unsafe Supplements containing prohibited or unverified ingredients
- Binary Options - Speculative financial instruments commonly associated with fraud and regulatory bans
Creator Flow reserves the right, in its absolute discretion, to expand, amend or update the list of prohibited categories at any time in order to maintain the safety, legality and integrity of the Platform. Any updated Non-Permitted Usage categories will take effect immediately upon publication on the Creator Flow Platform.
If any User submits a Brief, Pitch, Deliverable or other content involving a Non-Permitted category, Creator Flow may immediately;
- remove or disable access to the content;
- cancel the Job or reject the Brief;
- suspend or permanently disable the User Account; and/or
- take any additional enforcement measures described in Section 21 (Violations) or Section 8 (Suspension or Disablement of User Accounts))
No refund, payment or Payout will be made in respect of any Job that involves a Non-Permitted Usage category, except as expressly required by law or as determined by Creator Flow in its absolute discretion.
Proprietary Restrictions
You acknowledge that you have no rights in or to the Creator Flow Platform, the Site, or any part, component or extension thereof other than the limited right to use the Platform in accordance with these Terms. You must not, and you agree not to permit or authorise any third party to:
- copy, reproduce, publish, transfer, adapt, modify, distribute, transmit, display or create derivative works of the Site or any Creator Flow Materials in any manner;
- reverse engineer, disassemble, decompile, reverse-assemble or otherwise attempt to derive the source code, underlying ideas, algorithms, structure, architecture or organisation of the Platform or any part of it;
- remove, obscure, alter or tamper with any copyright notice, proprietary marking identification or other intellectual property notice displayed on or embedded within the Platform;
- use automation software (including bots), scripts, hacks, modifications, add-ons or any other unauthorized third-party software designed to access, manipulate or modify the Platform or its functionality;
- attempt to gain unauthorized access to, interfere with, damage, impair or disrupt the Platform, its servers, databases or any computer systems or networks connected to the Platform;
- circumvent, remove, alter, deactivate, bypass, degrade or otherwise interfere with any security measure, technological protection measure or content protection system used by the Platform;
- use any robot, spider, crawler, scraper, automatic device, process or software to access, extract, min, index or harvest information or data from or through the Platform, or engage in any manual process that attempts to achieve the same result;
- introduce or permit the introduction of any viruses, trojan horses, worms, logic bombs malware, corrupted data or other malicious or technologically harmful material into the Platform or Creator Flow systems,
- use the Platform in any manner that could damage, disable, overburden or impair the Platform, or interfere with any other usersâ enjoyment of the Platform or cause reputational harm or damage to Creator Flow or its Affiliates;
- access or use the Platform in any way not expressly permitted by these Terms.
Except for the limited license granted to you under these Terms to use the Platform, you acknowledge that Creator Flow owns all rights, title and interest in and to the Platform, including all intellectual property rights associated with them. You agree not to take any action that is inconsistent with or that adversely affects, Creator Flowâs ownership interests. Creator Flow reserves all rights in connection with the Platform and its content including, without limitation, the exclusive right to create, reproduce, publish, adapt or authorise derivative works.
Confidentiality - Creators
As a Creator, you acknowledge that a Client may disclose confidential, proprietary or sensitive information to you from time to time for the purpose of allowing you to pitch for and/or complete a Job.
You agree to protect all such confidential information from unauthorised use, access, publication or disclosure. You agree to treat any information received from a Client as strictly confidential and not to disclose such information to any third party except as expressly permitted under these Terms or with the Clientâs prior written consent.
You further acknowledge that any information received from the Client, that is not publicly available must not be used for any purpose other preparing your Pitch or delivering the Job to the Client. Any engagement and/or communication between a Client and a Creator occurring outside of the Platform is is undertaken at your own risk and not subject to these Terms.
Without limiting the generality of the above, you agree to:
- maintain all client information in strict confidence;
- not disclose the information to any third parties;
- not use the information for any purpose other than for preparing your Pitch or delivering the Job; and
- not copy or reproduce or store such information except as strictly necessary to complete the Job and only with the Clientâs permission.
Any exchange of personal information required for the completion of a Job must be provided solely through the âOrderâ or Job page of the Platform. You must not request or share personal information outside the Platform unless expressly required for the Job and approved by the Client.
You release and indemnify Creator Flow from and against any loss, damage, liability or claim suffered or incurred by Creator Flow out of or in connection with any breach of this Section 24 or any off-platform engagement or communication between you and a Client.
Warranties and liability Disclaimer of Warranties
To the extent permitted by law, your use of the Creator Flow Platform, its content and any Services obtained through the Platform is at your own risk. The Platform, the Site, all content and any Services obtained through the Platform are provided on an "as is" "as available" and âwith all faultsâ basis.
Creator Flow and all persons associated with Creator Flow make no warranties, representations or guarantees of any kind whether express or implies including as to
- the completeness, security, reliability, quality, accuracy or availability of the Platform or its contents;
- the suitability, skill, quality, timeliness, or performance of any Creator or Client;
- the suitability or fitness for purpose of any Brief, Pitch, Deliverable or Job;
- the absence of viruses or harmful components.
Creator Flow does not provide, and expressly disclaims, any warranty that any Deliverables created on the Platform will comply with the advertising policies, community guidelines or approval processes of any Social Media Platform. You acknowledge that compliance with such platform policies is your responsibility.
No advice or information, whether oral or written, obtained from Creator Flow or through the Platform creates any warranty not expressly stated in these Terms.
Limitation on liability
To the extent permitted by law, Creator Flow, its affiliates and their licensors, service providers, employees, agents, officers and directors (âour Affiliatesâ) are not liable for any loss and/or damages of any kind, under any legal theory, arising out of or connected with
- your use, or inability to use, the Platform,
- any websites or third-party services linked to or referenced on the Platform,
- any content, Deliverables, information or communications on the Platform including User Generated Content
- the acts, omissions, conduct or performance of any Client, Creator or third party; or
- any interactions occurring outside the Platform between a Client and Creator.
Without limiting the above, to the extent permitted by law, Creator Flow and our Affiliates are not liable for any direct, indirect, special, incidental, consequential or punitive damages, including without limitation, personal injury, pain and suffering or emotional distress, loss of revenue, profits, business or anticipated savings, loss of use, goodwill, or data, reputational harm; or any other intangible losses whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable.
You release, discharge and indemnify and hold Creator Flow and our Affiliates harmless from and against any loss, cost, liability, damage or expense (including legal fees) arising out of or relating to your breach of these Terms or your use or misuse of the Platform, any Deliverable, Brief, Pitch or communication provided by you or your infringement or alleged infringement of the rights of any third-party.
Creator Flow is not liable for any Deliverable(s) created on the Platform that are rejected, restricted, penalised or removed by any Social Media Platform or for any resulting claims, costs, losses or liabilities. You agree to indemnify and hold Creator Flow harmless or Creator Flow and our Affiliates against any such claims.
Any off-platform interaction between a Client and a Creator including meetings, communications or exchanges of goods or materials, is undertaken entirely at the risk of the parties. Creator Flow is not liable for any outcome or loss arising from such interactions.
Third-party links
The Platform may contain certain content, products, and services provided by, and licenced from, third-parties. The Platform may also contain links to third-party websites or applications that are nor owned or controlled by Creator Flow. Such links and third-party content are provided for your convenience only. They do not constitute endorsement, recommendation or approval by Creator Flow.
Creator Flow is not responsible for examining, evaluating or verifying the content or accuracy, security, legality or suitability of any third-party website, product or service If you choose to access or use any third-party resource, you do so entirely at your own risk. Your use of any third-party website, service or content is subject to the terms of service privacy policies and rules of the applicable third-party provider.
Disputes
We encourage our Clients and Creators to make genuine and reasonable efforts to resolve any disagreement, performance issue or directly between themselves in a professional manner. Where appropriate, parties may also refer the matter to the Dispute Resolution Centre Australia for assistance.
If the parties are unable to resolve the matter after attempting direct communication or after engaging the Dispute Resolution Centre Australia (where applicable) or if a User encounters any Non-Permitted Usage on the Platform, the User may contact Creator Flow's Customer Support for assistance here.
Creator Flow may, at its discretion review relevant information and provide general guidance to assist in resolving the dispute. It will use reasonable endeavours to assist but does not guarantee that any dispute will be resolved, nor does it assume any responsibility or liability for the outcome of any dispute between a Creator and a Client Creator Flow does not act as an arbitrator, mediator or decision-maker, and will not determine the outcome of any dispute.
You acknowledge that Creator Flow is not a party to any contract formed between a Client and a Creator, and that any dispute, claim or disagreement arising from a Job, Deliverables or any interaction between Users remains solely between those Users and that they remain solely responsible for the legal and commercial consequences of their dealings with one another.
Amendments or variations of these Terms
Creator Flow amend, update or vary these Terms from time to time. When changes are made, an updated version of the Terms will be published on this page, and the âLast Updatedâ date will be revised.
Creator Flow Concierge Service
Terms and Conditions
- Application of Platform Terms
The Concierge Service is governed by and operates subject to the Creator Flow Platform Terms of Service (the Platform Terms).
Without limitation, this includes delivery timelines, a maximum of two (2) revision rounds per deliverable, automatic approval after seven (7) days, and the reshoot policy, which applies only where a Creator has failed to materially comply with the approved Brief. - Services Included
The Concierge Service fee includes the following services:
(a) preparation, structuring, and finalisation of the content Brief;
(b) scriptwriting services, where expressly requested by the Client;
(c) placement of the Order on the Creator Flow platform;
(d) shortlisting, vetting, and selection of suitable Creators;
(e) liaison and coordination with Creators throughout the production process;
(f) monitoring deliverables and managing agreed delivery timelines;
(g) coordination of revision requests strictly in accordance with clause 6; and
(h) provision of ongoing project updates and communications to the Client. - Scope of Work
The Client acknowledges that the Concierge Service is limited to the services expressly listed in clause 2. Any services falling outside this scope, including but not limited to substantive creative strategy, extensive script rewrites, additional deliverables, or creative direction beyond the approved Brief, must be agreed in writing prior to commencement and may be subject to additional fees. - Finalisation and Variation of Brief
Once a Creator has commenced filming or production, the Brief shall be deemed final and binding.
Any material variation, amendment, or addition to the Brief after this point will require the creation of a new Order and the purchase of additional credits. - Variation to Scope and Fees
Where the Client requests additional services or an expansion of the agreed scope, Creator Flow reserves the right to revise the Concierge Service fee accordingly.
Any such variation will be confirmed in writing and will not take effect unless expressly approved by the Client in writing. - Revisions and Re-Shoots
The Client is entitled to a maximum of two (2) revision rounds per deliverable in accordance with the Platform Terms.
Re-shoots are available only where the Creator has materially failed to comply with the approved Brief.
Requests based solely on subjective preference, aesthetic taste, or change of mind do not constitute grounds for a re-shoot. - Written Confirmation
Prior to commencement of the Concierge Service, Creator Flow will provide written confirmation of the agreed scope of work and applicable fees via email.
Any subsequent changes or variations must be documented in writing and approved by the Client prior to implementation. - Nature and Limitation of Services
The Client acknowledges and agrees that Creator Flow provides a facilitation and project management service only. Creator Flow does not:
(a) guarantee specific creative results, audience response, or qualitative outcomes beyond adherence to the approved Brief; (b) provide advertising management, media buying, or performance marketing services; or (c) waive, modify, or override the Platform Terms of Service. - Client Obligations
a. The Client must provide accurate, complete, and timely information required for the Concierge Service. Creator Flow shall not be liable for delays, delivery issues, or quality concerns arising from inaccurate, incomplete, or late information supplied by the Client. Material changes to requirements after commencement may result in delays and additional charges
You acknowledge and agree that your continued use of the Creator Flow Platform after the effective date of any amendments constitutes your acceptance of the amended Terms. If you do not agree to the amended Terms, you must immediately cease using the Platform.
